Background & Context

Curriculum is the highest leverage tool for equitable learning in schools – but existing materials are not built for bilingual education. Indeed, bilingual teachers cite lack of materials as the primary factor driving their exit from the classroom, as states across the country seek to expand access to dual language schools. Acuarela is filling this critical gap.

Acuarela Curriculum Co-op is creating the first core curriculum designed intentionally for dual language schools (the instructional materials -- lesson plans, student materials, and other classroom resources). As an early stage nonprofit, we are exploring a partnership with a larger curriculum organization as a source of revenue as we build out our own instructional materials -- and want to ensure that our contract protects our ability to create our own materials, and that the contract is fair to our team and beneficial to our mission overall.

Immediate Problem

We are a very early stage organization (still in fiscal sponsorship as a project under a larger nonprofit) and entering into a partnership with a more established curriculum organization.

We need help reviewing the contract before we sign it.

One key specific issue: we want to be able to continue developing our own materials alongside the work we do for the org we are partnering with and to be able to compete in relevant markets during and after the engagement. We have suggested a general partnership agreement in lieu of a noncompete clause, but are awaiting feedback from the other organization.
